By accessing kcconsultinghub.click or engaging KC Consulting Hub to provide consulting services, you confirm that you have read, understood and agree to be bound by these Terms of Service ("Terms"). If you accept on behalf of a legal entity, you warrant that you have authority to bind that entity. If you do not agree, please do not use this website or our services.
KC Consulting Hub provides business consulting services including, without limitation, strategy and planning, business growth advisory, operations improvement, organisational development, financial advisory, risk and governance consulting, market entry support, business transformation and interim management. The specific scope, deliverables, timelines and fees for each engagement are documented in a Statement of Work or project agreement signed by both parties, which is incorporated into and governed by these Terms.
Engagements commence upon execution of a signed project agreement or purchase order. Invoices are payable within 14 calendar days of the invoice date unless otherwise agreed in writing. Overdue amounts accrue interest at the applicable Estonian statutory rate. KC Consulting Hub reserves the right to suspend or terminate work on accounts overdue by more than 14 days following written notice.
For project engagements, a deposit (typically 30–50% of the total fee) is payable before work begins. Retainer fees are invoiced monthly in advance. Expenses reasonably incurred in connection with an engagement (travel, accommodation, third-party costs) are invoiced at cost unless included in a fixed-fee arrangement.
Upon receipt of full payment, KC Consulting Hub assigns to the client all intellectual property rights in deliverables created specifically for that client under the engagement. KC Consulting Hub retains ownership of its proprietary frameworks, methodologies, tools, templates, background knowledge and any generic content developed independently of the client engagement. Pre-existing materials incorporated into deliverables are licensed to the client for use of those deliverables only.
Each party agrees to hold the other's confidential business information, strategies, data and materials in strict confidence and to use them solely to fulfil obligations under these Terms. This obligation survives termination for a period of five years. It does not apply to information that is or becomes publicly known without breach by the receiving party, or that must be disclosed by applicable law or court order.
KC Consulting Hub's total liability in connection with any engagement shall not exceed the consulting fees paid by you to KC Consulting Hub in the three months immediately preceding the event giving rise to the claim. KC Consulting Hub shall not be liable for indirect, incidental, consequential, special or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunity or loss of goodwill, even if advised of the possibility of such damages. Consulting recommendations are provided in good faith based on information available at the time; KC Consulting Hub is not liable for outcomes resulting from client decisions to implement or not implement such recommendations.
KC Consulting Hub warrants that services will be performed with reasonable skill, care and diligence consistent with professional consulting standards. No warranty is given that any particular business outcome will result from following our recommendations, as outcomes depend on implementation, market conditions and factors outside KC Consulting Hub's control. Clients warrant that all information and materials provided to KC Consulting Hub are accurate and complete to the best of their knowledge.
Either party may terminate a retainer engagement by providing 30 days' written notice. Project engagements may be terminated by mutual written agreement. Upon termination, the client is liable for all fees covering work completed to the termination date, plus any third-party costs already incurred on the client's behalf. KC Consulting Hub will deliver all completed work product for which payment has been received.
These Terms are governed by the laws of the Republic of Estonia. Any dispute shall first be subject to good-faith negotiation between senior representatives of both parties. If unresolved within 30 days, disputes shall be referred to the exclusive jurisdiction of the courts of Estonia. Consumers in the European Union may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. Material changes will be communicated by email or by prominent notice on this website at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
